By accessing or using the SimplyLinked website (simplylinked.us), the Enrichment Center platform (app.simplylinked.us), or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services.

2. Description of Services

SimplyLinked provides customer acquisition services including lead data sourcing, audience building, personalized messaging, outbound campaign setup, and ongoing campaign management. Our Enrichment Center platform provides tools for data enrichment, campaign tracking, and outreach operations.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using our Services, you represent and warrant that you meet these requirements.

4. Account Responsibilities

If you create an account on the Enrichment Center platform:

• You are responsible for maintaining the confidentiality of your credentials.
• You are responsible for all activities that occur under your account.
• You agree to notify us immediately of any unauthorized access or use.
• You must provide accurate and complete information.

5. Acceptable Use

You agree not to use our Services to:

• Send unsolicited messages in violation of applicable anti-spam laws (CAN-SPAM, GDPR, etc.)
• Harass, threaten, or defraud any person or entity
• Transmit malware, viruses, or other harmful code
• Violate any applicable local, state, national, or international law
• Infringe on the intellectual property rights of others
• Scrape, reverse-engineer, or interfere with the operation of our Services
• Misrepresent your identity or affiliation

We reserve the right to suspend or terminate your access for any violation of these Terms.

6. Intellectual Property

All content, branding, software, and materials on our website and platform are owned by SimplyLinked or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

You retain ownership of any data or content you provide to us. By submitting information through our Services, you grant us a limited license to use that data solely for the purpose of delivering our services to you.

7. Campaign Services & Deliverables

Campaign strategies, lead lists, messaging templates, and other deliverables produced by SimplyLinked are provided for your exclusive business use. Specific deliverables, timelines, and scope will be outlined in individual service agreements or proposals.

While we strive for optimal results, we do not guarantee specific response rates, conversion rates, or revenue outcomes from campaigns.

8. Payment & Billing

Payment terms for paid services will be outlined in your service agreement. Unless otherwise agreed, invoices are due within 15 days of issuance. We reserve the right to suspend services for overdue accounts.

9. Data & Privacy

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

You are responsible for ensuring that any lead data you provide to us, or that we source on your behalf, is used in compliance with all applicable data protection regulations.

10. Limitation of Liability

To the maximum extent permitted by law, SimplyLinked shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use our Services.

Our total liability for any claim arising from these Terms or our Services shall not exceed the fees paid by you to SimplyLinked in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Indemnification

You agree to indemnify and hold harmless SimplyLinked, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our Services or violation of these Terms.

13. Termination

Either party may terminate the service relationship with 30 days' written notice. We may immediately terminate or suspend your access if you violate these Terms. Upon termination, your right to use our Services ceases, and we may delete your account data after a reasonable retention period.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes shall be resolved in the courts located in Los Angeles County, California.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our Services after changes constitutes acceptance of the revised Terms.
